Overtime is seeking a forward-thinking, agile, dynamic team player to take on the role of Legal Counsel. The ideal candidate has a background in corporate and commercial law, with 3+ years of total experience gained at a law firm and/or professional sports league, team, or agency. A combination of law firm and in-house experience is also acceptable. The ideal skill set would include experience in commercial contracts and also experience in media and advertising related transactional matters. A sports transactional background is a plus but is not required.

This position will report to the VP, Legal & Business Affairs and will provide support to the legal team by assisting with drafting, reviewing and negotiating a broad range of contracts to help deliver value across the organization. This role is “hands-on” and involves a broad and diverse set of in-house corporate and commercial transactional responsibilities, so an ability to learn and adapt quickly is a must.

What you'll do

The candidate will assist the VP, Legal & Business Affairs with the following:

  • preparing, negotiating, and reviewing agreements with advertising agencies and brands, service providers and vendors, consulting agreements, licensing arrangements, sponsorship agreements, talent agreements, and NDAs, among other commercial contracts
  • intellectual property, data privacy, employment, corporate governance, and compliance matters
  • facilitating the long-term business strategy for the company
  • providing legal guidance and practical advice across the organization in the evaluation and prevention of company exposure
  • other general in-house legal work and special projects on an as-needed basis
Who you are

  • 3+ years of relevant legal experience, including at least 1-2 years at a law firm or relevant in-house experience at a media or entertainment company strongly preferred
  • You have significant experience with contract review and transactional work; experience with media and advertising-related transactional work (contract negotiation with advertisers, talent, licensees, etc.) is a plus
  • An ideal candidate will have exposure to other areas of law, such as employment, intellectual property, and data privacy
  • You are a collegial, team oriented and driven self-starter with superior intellectual, analytical, and prioritization abilities who is able to function with a high degree of independence with little oversight in a fast-moving entrepreneurial environment, while managing your time appropriately based on the needs of the company
  • You have sound judgment; you know how to resolve complicated matters while maintaining integrity and confidentiality
  • You have a strong ability to turn legalese into language that everyone understands and believes in
  • You have excellent communication and collaboration skills, holding yourself and others accountable with kindness and humility
  • Ability to work effectively, collaborate cross-functionally, think practically, and be solution-oriented
  • Highly organized, with strong attention to detail, with the ability to prioritize and manage multiple projects and deadlines simultaneously
  • You have a J.D. and bar admission (and in good standing) in New York, Georgia or California
  • You have authorization to work in the United States

Overtime expects the salary range for this role to be between $110-115K annually. Overtime also offers benefits, paid time off and equity in the company.
